HEALTHME TECHNOLOGY, INC. (“HMT”) has developed an independent technology services platform that includes an Application Programming Interface through which independent healthcare providers may offer clinical services to patients for an established fee, as set forth on the Platform. These Terms and Conditions apply to all Users who access the Technology, whether directly through HMT or indirectly through a Partner Deployment. Accessing or using the Technology in any form constitutes acceptance of these Terms and Conditions.
HMT may make the Technology available through authorized partners who facilitate access for their users or members. Such partners do not operate, control, or warrant the Technology. Partners are not agents or representatives of HMT for purposes of these Terms. Partner Deployments may present the Technology under different branding, trade dress, or network naming; however, all such deployments remain operated by HMT, and all access and use are governed exclusively by these Terms and Conditions. Use of the Technology through a Partner Deployment may display branding, trademarks, or design elements belonging to HMT’s partners. Such branding does not alter or modify these Terms, nor does it transfer ownership, operation, or responsibility for the Technology away from HMT.
HMT may change these Terms and Conditions from time to time, at HMT's sole discretion. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Technology. You agree to periodically review the Terms and Conditions in order to be aware of any such modifications. Your continued use shall be your acceptance of these Terms and Conditions. HMT shall use commercially reasonable efforts to make the Technology accessible in a timely, competent, and efficient manner, but shall not be liable if, for any reason, all or any part of the Technology is restricted or unavailable at any time or for any period.
General Terms
Users and their Clients may access: (a) the HMT website at www.healthmedocs.com (the “Site”); (b) the HMT desktop and mobile applications (the “Applications”); (c) the Software as a Service platform (the “Platform”); and (d) the other applicable features related to the Technology (collectively, the “Technology”).
User access hereunder is conditioned upon the consent of each HMT Provider, to allow access to the HMT Provider’s information and established fees.
Accessed Data may be used solely for presenting options to User’s customers within its web applications, and for scheduling appointments with HMT.
HMT makes no guarantees in regard to the number of times Clients will access or engage HMT Providers, and HMT Providers are under no obligations to accept any Clients as patients.
Certain Medical Services coordinated through HMT may be subject to prior authorization, medical necessity review, or other utilization management protocols, depending on the applicable Plan. HMT shall not be responsible for initiating or obtaining such authorizations.
All Users must protect the Data from unauthorized access, hacking, or theft.
No Data may be disclosed to any third party without the prior written consent of HMT.
Users may retain the Data for only as long as necessary to fulfill the purposes outlined in the User’s agreement with HMT. Users must: (i) promptly delete or securely destroy all Data; (ii) maintain and utilize a secure and effective method for the destruction of Data; and (iii) upon the expiration or any termination of the agreement with HMT, promptly delete or securely destroy all Data and provide written confirmation of the deletion or destruction to HMT.
No User may:
- decipher, decompile, disassemble, reverse engineer, modify, translate, reverse engineer or otherwise attempt to derive source code, algorithms, tags, specifications, architectures, structures or other elements of any of the Technology, in whole or in part;
- use any of the Technology for the benefit of anyone other than the User;
- provide any services to any third party using any of the Technology;
- reproduce, modify, adapt, translate or otherwise make any changes to any of the Technology;
- copy, disclose, or distribute any data or other information available on any of the Technology, in any medium, including without limitation, by any automated or non-automated “scraping,” meaning any technique to extract data from the Technology for commercial purposes outside of transacting medical purposes via the Technology;
- interfere with, circumvent or disable any security or other technological features or measures of any of the Technology or attempt to gain unauthorized access to any of the Technology or its related systems or related users;
- make unsolicited offers, advertisements, or proposals, or send junk mail or spam to other Users;
- attempt to directly or indirectly engage, solicit, or enter into any business relationship for the purpose of bypassing or circumventing HMT and engaging in direct relationships outside of the Technology;
- use bots or other automated methods to: access any of the Technology; download profiles, contacts or any other information; send or redirect messages; or perform any other activities through the Technology;
- use any of the Technology for any unlawful or inappropriate activity;
- use the Data to: solicit providers or develop a list of providers to solicit; benchmark or compare providers against other providers, for any reason; determine or negotiate contractual terms with providers; or implement any mass mail-outs or communications to entities in the Data;
- publish or make any Data accessible in any format without placing it behind a secure login wall, with proper authentication and authorization controls.
- use the Data, directly or indirectly, to develop, market, or distribute any product or service that competes with HMT.
HMT may terminate a User’s access at any time in its sole discretion.
HMT shall be entitled to terminate any agreement with a User and/or obtain equitable relief without having to post any bond or other security, to restrain or enjoin any violation or threatened violation of these Terms and Conditions.

HMT is not a medical provider. HMT DOES NOT PROVIDE MEDICAL ADVICE, NOR DOES IT PROVIDE ANY GUIDANCE OR SUGGESTED TREATMENT FOR ANY PARTICULAR CONDITION OR ANY OTHER FORM OF MEDICAL TREATMENT.
HMT does not recommend, refer to, or endorse any specific tests, physicians, products, procedures, opinions, or other medical information.
No Medical Services are offered at discounted or reduced fees.
HMT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICES, THE HMT PROVIDERS, OR THE TECHNOLOGY, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PLAN. WITHOUT LIMITATION TO THE FOREGOING, HMT PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, THAT THE TECHNOLOGY AND THE OTHER HMT SERVICES WILL MEET ANY MEDICAL SERVICE PROVIDER’S OR CLIENT’S REQUIREMENTS, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR FREE. HMT SHALL NOT BE HELD RESPONSIBLE FOR ANY ISSUES, ERRORS, OR DAMAGES THAT MAY ARISE DUE TO THE USE OF OUTDATED, INCOMPLETE, OR OTHERWISE INACCURATE DATA BY ANY USER. ALL USERS ASSUME FULL RESPONSIBILITY FOR ANY CONSEQUENCES RESULTING FROM THE USE OF UNFRESH OR INACCURATE DATA.
Regulatory Compliance and Confidentiality
No remuneration or benefits of any kind shall be exchanged in relation to the value or volume of patient referrals generated by or between any parties. Nothing herein shall be construed to induce or encourage the referral of patients or the purchase of health care services or supplies. There is no requirement that any party refer any patients to any health care provider or purchase any health care goods or services from any source. No payments made between or among the parties shall be in return for the referral of patients, or in return for purchasing, leasing, or ordering services. No fees paid to HMT under any agreement are intended to be, nor shall they actually be, reimbursement for any physician/patient encounters.
Each User will have access to certain confidential information of HMT and other related parties, including the Data. Such information constitutes valuable, special and unique property of such parties. No User may, at any time, in any fashion, form, or manner, either directly or indirectly, divulge, disclose or communicate to any person, firm or corporation, in any manner whatsoever, any information of any kind, nature or description concerning any matters affecting or relating to the business of another party, including without limitation, the names of patients, the prices paid for goods and services, the manner of operation, plans or processes, the Data, or any other data or information of any kind, nature, or description which affects or relates to another party’s business, without regard to whether any or all of the foregoing would be deemed confidential information or a trade secret under applicable law. Compliance with this Section is necessary for the protection of the goodwill and other proprietary interests of all parties.
HMT is a Business Associate of the HMT Providers, and is therefore subject to the privacy and security rules implemented under the Health Insurance Portability and Accountability Act of 1996 as amended (“HIPAA”). HMT will use commercially reasonable efforts to appropriately safeguard any Protected Health Information (PHI), as defined by federal law, which it may receive from time to time. In addition, no patient names, addresses, telephone numbers, files, records and other patient information shall be removed, copied, transferred or transmitted by HMT to any person, natural or corporate, at any time; provided however, HMT acknowledges that all patient data will be captured by Users or User Clients. Accordingly, all patient data will also be maintained by the HMT Providers. Nothing herein shall prohibit HMT from using PHI to create de-identified data. HMT may use, create, modify, aggregate, and disclose de-identified data for statistical analyses, other internal uses and any other purposes not prohibited by applicable law. Additionally, all parties must comply with the requirements of HIPAA, as applicable. This requirement shall survive the expiration or earlier termination of any agreement with HMT.
